1. Purpose and B2B Scope

These Terms and Conditions govern the use of the Replan platform.

Replan is a B2B (Business to Business) software tool aimed at independent professionals and companies requiring appointment and booking calendar management. By registering, the user declares to act within the scope of their commercial or professional activity, thereby excluding consumer protection regulations.

2. Owner Identification

The owner and responsible party for Replan is Carlos Blanco Ruiz, with VAT number (NIF) 20828158W, registered address in Valencia (Spain), and email hello@replanapp.com.

3. Services and Account Levels

Replan offers a free calendar tier and a premium paid service called "WhatsApp Booking".

The free tier allows unlimited use of the Replan Calendar with the necessary tools to manage your business schedule. The premium service connects the calendar to the WhatsApp API to automate bookings, reminders, and notifications. Replan reserves the right to modify or withdraw features for the continuous improvement of the service.

4. Relationship with Meta (WhatsApp) and User Responsibility

The use of "WhatsApp Booking" requires the user to have an account connected to the WhatsApp API (Meta). Replan acts solely as the software facilitating this connection.

The user (the professional or business) is solely responsible for:

  • Using the WhatsApp service exclusively for transactional communications related to the provision of their services (booking management, reminders, notices) and not for sending unsolicited advertising or spam.
  • Complying with Meta's commerce and messaging policies, as well as data protection regulations (GDPR).

Replan will assume no liability and will not issue refunds if Meta blocks, suspends, or restricts the user's WhatsApp account for violating its policies.

5. Contracting, Pricing, and Billing

Contracting "WhatsApp Booking" is done from the application's internal dashboard.

The monthly cost of the service consists of two concepts billed together in a single monthly invoice:

  1. Fixed fee: The recurring subscription for the use of the software (e.g., €79/month + VAT).
  2. Variable consumption: The exact cost derived from proactive messages sent (reminders and notices) through the official WhatsApp API, billed according to Meta's current rates at the time of sending.

The user authorizes Replan to automatically charge this total amount to the provided payment method at the beginning of each new billing cycle.

6. Cancellation, Account Deletion, and Refund Policy

The service has no minimum commitment period. The user can cancel their "WhatsApp Booking" subscription at any time from their account settings.

Cancellation will stop the automatic renewal for the following month. The service will remain active until the last day of the paid billing cycle. Therefore, no refunds or prorations will be made for the remaining days of the current billed month.

Data Deletion: From the dashboard itself, the user has the option to permanently delete any created salon/workspace, as well as their user account. This action is irreversible and will result in the automatic deletion of all associated data (appointments, contacts, settings), except for billing data that Replan must retain due to legal or tax obligations.

7. Lawful Use and Intellectual Property

It is strictly prohibited to use Replan for fraudulent activities, to damage servers, or to attempt to extract the platform's source code. All code, design, branding, and structure of Replan are the exclusive property of its owner. A limited, revocable, and non-transferable license of use is granted while the account is active.

8. Data Processing (Data Processor)

For end-customer data that the user enters in the "Contacts" section or in the calendar, Replan acts exclusively as the Data Processor. The user (the business) is the Data Controller. Replan commits to processing this data only to provide the software service, applying the security measures required by the GDPR, as detailed in our Privacy Policy.

9. Limitation of Liability

Being a B2B service, Replan's liability for any technical failure, server downtime, data loss, or interruption of the WhatsApp service will be limited, to the maximum extent permitted by law, to the amount paid by the user in the 3 months preceding the incident. Replan shall not be liable for loss of profit or loss of business revenue under any circumstances.

10. Governing Law and Jurisdiction

These Terms are governed by Spanish law. For any legal dispute, and given the exclusively business (B2B) nature of the relationship, the parties waive any other jurisdiction and expressly submit to the Courts and Tribunals of the city of Valencia (Spain).
